3DVista Branded Progressive Web App (PWA) License Agreement

    1. Introduction

    This License Agreement ("Agreement") is entered into between 3DVista España S.L. ("3DVista") and the Client ("Licensee") for the provision and use of a branded Progressive Web App ("PWA"). The PWA enables the Licensee to distribute their virtual tours created with 3DVista's software through a web-based application accessible from multiple platforms.

    1. Definitions
    • PWA: A Progressive Web App that offers users an app-like experience across devices, including desktop, mobile, tablet, and VR, accessible via a unique URL.
    • Licensee Content: All virtual tours, media, trademarks, logos, and other materials provided by the Licensee.
    • User: Any individual accessing or using the Licensee’s PWA.
    • Control Panel: The web interface at cloud.3dvista.com used by the Licensee to manage and customize the PWA.
    1. License Grant

    3DVista grants the Licensee a perpetual, non-exclusive, non-transferable, non-sublicensable license to use the branded PWA for the distribution of their virtual tours. This license includes the right to customize the app’s appearance and functionality as long as the underlying technology supports it.

    1. Customization and Branding

    The Licensee is provided with a dedicated section in the 3DVista Control Panel to customize the appearance and behavior of their PWA. Features include:

    • Uploading custom logos and icons
    • Selecting a custom color scheme
    • Setting a personalized app name
    • Choosing which virtual tours from the user’s 3DVista Hosting appear in the app
    • Enabling offline access for specific tours. There are two options: one is to allow uploading tours (with .ts files), and the other — if the user has hosting — is to allow downloading all the tours available on their server..

    These options can be modified at any time without additional fees, and changes are reflected immediately in the PWA. 3DVista does not offer manual customization services under this agreement.

     

    1. Hosting and Accessibility

    The PWA is hosted by 3DVista and delivered via a unique subdomain (e.g., user.mytourhub.app). The Licensee is responsible for ensuring their virtual tours are published and compatible with the platform. The app is accessible through major browsers and can be installed directly from them when the browser supports PWAs installation, eliminating the need for app store approvals.

    1. Updates and Maintenance

    3DVista will provide ongoing updates and technical maintenance to ensure compatibility with current web standards and supported devices. These updates are automatic and are intended to preserve performance and user experience.

    1. Data and Privacy

    The Licensee is responsible for ensuring compliance with applicable data protection laws regarding the collection and use of any personal data via the PWA. 3DVista may collect anonymized data to analyze performance and enhance the service.

    1. Intellectual Property

    All intellectual property rights related to the PWA platform, including software and design, remain the sole property of 3DVista. The Licensee retains ownership of their uploaded content, branding elements, and virtual tours.

    1. Term and Termination

    This license is granted on a perpetual basis, tied to a one-time payment. It remains valid as long as the PWA platform is supported. 3DVista may terminate this agreement if the Licensee breaches its terms or if the technology becomes obsolete. In such events, reasonable advance notice will be provided.

    1. Limitation of Liability

    3DVista will not be liable for any indirect, incidental, or consequential damages arising from the use or inability to use the PWA. Total liability is limited to the amount paid for the license. The Licensee agrees to indemnify 3DVista against any claims resulting from misuse or unauthorized content.

    1. Governing Law

    This Agreement shall be governed by the laws of Spain. Any legal disputes will be subject to the jurisdiction of the courts in Granada, Spain.
